In Europa bestehen seit jeher sehr unterschiedliche Systeme der Kapitalgesellschaften. Diese Unterschiede betreffen nicht nur die Leitungsstruktur der Aktiengesellschaften mit den monistischen oder dualistischen Systemen der Leitungsorgane, sie betreffen auch die Prinzipien des festen Kapitals: Dieses feste Kapital ist dem englischen und irischen Recht fremd und mute in diese Rechte (nur) fr die Aktiengesellschaft aufgrund der 2. EUKapitalRichtlinie von 1976 bernommen werden. Angefreundet hat man sich damit in diesen Lndern nie. Daher hat das britische Department of Trade vor einigen Jahren eine Untersuchung ber den Nutzen dieses Systems durch eine Arbeitsgruppe unter Leitung von Jonathan Rickford angestoen und gefrdert. Der Bericht dieser Arbeitsgruppe ist im Jahre 2004 erschienen (European Business Law Review [2004] 919). Er kommt zu dem Ergebnis, das System des festen Kapitals sei teuer und berflssig; er empfiehlt daher die Abschaffung der 2. Richtlinie. Die britische Regierung hat sich dieser Auffassung angeschlossen und drngt die Europische Kommission zu einer entsprechenden Initiative. Auf diesem Hintergrund hat sich eine Gruppe von deutschen Kennern des Rechts der Kapitalgesellschaften aus Wissenschaft und Praxis zusammengefunden, um ihrerseits Sinn und Nutzen des festen Kapitals und seiner einzelnen Elemente ganz breit zu untersuchen. In dem vorliegenden Band finden sich, auer einer Zusammenfassung der Ergebnisse, insgesamt 15 Einzeluntersuchungen zu Aspekten des Kapitals in Deutschland und seiner Bezge zu angrenzenden Rechtsbereichen (z.B. Rechnungslegung, Insolvenz); 7 Berichte zum festen Kapital im Ausland (Frankreich, Grobritannien, Italien, Niederlande, Polen, Spanien und USA), je unter den gleichen Fragestellungen wie die Abhandlungen zum deutschen Recht.
