Juni 2009, kurz vor Inkrafttreten des Gesetzes zur Umsetzung der Aktionrsrechterichtlinie (ARUG). Mit dieser Prognose hinsichtlich der Auswirkungen des ARUG mgen die Autoren richtig gelegen haben. Aus juristischer Sicht sind demgegenber vor allem die Auswirkungen des ARUG sowie des UMAG auf das Beschlussmngelrecht von Interesse. In dieser Studie werden die bestehenden Neuregelungen nach dem UMAG und ARUG insbesondere im Hinblick auf das Freigabeverfahren und die Quorumsregelung nach 246a Abs. 2 AktG untersucht. Nach einer Beleuchtung des ARUG nach Mastben des allgemeinen Verbandsrechts schliet der Autor, dass erhebliche Kritikpunkte der Neureglungen durchaus berechtigt sind und somit weiterer Reformbedarf besteht. Sodann wird diese Untersuchung mit einer Analyse nicht verwirklichter Reformvorschlge fortgesetzt, welche anschlieend im Hinblick auf ihre rechtliche Stimmigkeit sowie ihre Praktikabilitt geprft werden. Die mgliche Geeignetheit eines Eilverfahrens fr die Frage der Beschlusseintragung ist ebenso Gegenstand dieses Buches, wie die Quorumsregelung, deren rechtliche Zulssigkeit eingehend untersucht wird.
