Die Problematik, mit welcher sich die Rechtsprechung und Rechtswissenschaft seit langer Zeit konfrontiert sieht, liegt ganz allgemein formuliert in der missbruchlichen Ausnutzung des Haftungsprivilegs durch die Gesellschafter einer Kapitalgesellschaft. Das Haftungsprivileg besagt, dass den Glubigern einer Kapitalgesellschaft nur die Gesellschaft selbst mit ihrem Vermgen haftet.1 Dieser Ausschluss der Gesellschafterhaftung wird durch das Trennungsprinzip, zwischen Gesellschafts und Gesellschaftervermgen, ermglicht.2 Das Trennungsprinzip wird in einigen Fllen durchbrochen. Neben den gesetzlichen Regelungen zum Glubigerschutzsystem der GmbH, wie bspw. Kapitalaufbringung und Kapitalerhaltung wird dieses Prinzip auch bei missbruchlichen Eingriffen der Gesellschafter in das Gesellschaftsvermgen, die von den gesetzlichen Regelungen eben nicht erfasst werden, aufgehoben.3 Die Haftung der Gesellschafter, die aus diesen Eingriffen resultiert, ist heutzutage unter der Bezeichnung Existenzvernichtungshaftung' oder Haftung wegen existenzvernichtenden Eingriff' bekannt. Der erwhnte missbruchliche Eingriff uert sich generell in einer fr den Gesellschaftsglubiger nachteiligen, weil insolvenzverursachenden Einflussnahme der Gesellschafter auf die Gesellschaft als Schuldnerin. Nachteilig in diesem Sinne bedeutet, dass die den Glubigern zustehende Haftungsmasse der Gesellschaft aus derselben transferiert wird, so dass dieses Vermgen den Glubigern zur Haftung nicht mehr zur Verfgung steht.
