Ausgehend von den verschiedenen Formen der Leitungsorganisation in der Praxis, die in der groen Publikumsgesellschaft durch eine Dezentralisierung der Leitungsaufgaben gekennzeichnet sind, wird zum einen die aktienrechtliche Zulssigkeit dezentraler Leitungsorganisationen untersucht, zum anderen die Frage gestellt, inwieweit die gesetzliche Regelung angesichts der Erfordernisse in der Praxis noch angemessen ist.
