Die Finanzmrkte befinden sich weltweit in einem tief greifenden Wandlungsprozess, der die Frage nach der Rolle des Bankensektors in einem interdependenten globalen Finanzsystem mit noch strkerem Gewicht in den Mittelpunkt wirtschaftlicher Diskussion stellt. Die bereits einige Jahrzehnte lang rivalisierenden Modelle des deutschen Universalbankensystems und des USamerikanischen Trennbankensystems sind hinsichtlich ihrer Bedeutung fr die Finanzierung und Kontrolle nichtfinanzieller Unternehmen schon immer als zwei diametral entgegengesetzte Finanzmodelle wahrgenommen worden. Vor dem Hintergrund einer ausfhrlichen theoretischen Fundierung der Rolle finanzieller Intermedire wird in diesem Buch anhand einer direkten Gegenberstellung des deutschen und des amerikanischen Finanzsystems gezeigt, dass die einst markanten Unterschiede zwischen den beiden Finanzmodellen immer strker aufgeweicht werden. Amerikanische Commercial Banks engagieren sich zunehmend in Aktivitten, die schon immer als Domne der deutschen Universalbanken gegolten haben: sie erwerben Beteiligungen an nichtfinanziellen Unternehmen, indem sie Kreditforderungen zu Eigenkapitalanteilen umwandeln, erhalten in diesen Unternehmen Boardmandate und drfen im Prinzip ber ihre Vermgensverwaltungsabteilungen Vollmachtsstimmrechte ausben. Fr den Fortbestand gewisser Divergenzen erscheinen neben der unterschiedlichen Bankenregulierung auch Unterschiede in der Regulierung der heimischen Finanzmrkte sowie in der Steuer und Konkursgesetzgebung verantwortlich.
