Jedoch kann diese Form der Unternehmensprfung in einem Spannungsfeld zu den Geheimhaltungspflichten des Veruerers stehen. Unproblematisch ist das Verhltnis einer Due Diligence zu den Geheimhaltungspflichten des Veruerers, wenn dem potentiellen Kufer ein Einzelunternehmer oder Alleingesellschafter einer GmbH oder ein faktischer Alleingesellschafter einer GmbH & Co. KG gegenbersteht. Dieser entscheidet nach eigenem Ermessen, inwieweit er dem Kaufinteressenten Einblick gewhrt. Probleme allerdings bereitet es, wenn es um eine Beteiligung in einer mehrgliedrigen Gesellschaft geht, worauf im weiteren nher drauf eingegangen wird.
