Insgesamt stieg die Anzahl der Zusammenschlsse und Akquisitionen mit europischer Beteiligung von 1996 bis 2000 um ca. 68% (vgl. Anlage 1). Hierbei wurden zum Teil auergewhnlich hohe Preise fr Unternehmen und Beteiligungen gezahlt, die im Rahmen der Due Diligence mit den herkmmlichen, klassischen Bewertungsverfahren (z.B. DCF Methode oder Ertragswertverfahren) kaum erklrbar sind. Dies liegt daran, dass die traditionellen Bewertungsmethoden ihren Fokus weitgehend auf die Bewertung sogenannter hard facts" legen, also auf alle Faktoren, die materielle Werte einer Unternehmung darstellen. Hierbei bildet die zugrunde gelegte Bezugsgre immer das investierte Kapital einer Unternehmung, welches weitgehend dem bilanzierten Vermgen entspricht. Durch der im letzten Jahrzehnt stattgefundenen Entwicklung, zu komplexen und sich immer schneller wandelnden Mrkten, entscheiden jedoch zunehmend die immateriellen, also nicht kapitalbasierten Werte, wie z.B. die Unternehmenskultur, die Mitarbeiter, oder das Wissen einer Unternehmung, ber Erfolg oder Misserfolg. Unter diesen Rahmenbedingungen muss sich die Due Diligence der Herausforderung stellen, bei der Kaufpreisermittlung eines Unternehmens, diese Faktoren durch systematische Bewertung zu bercksichtigen. Dies gilt insbesondere dann, wenn das eigentliche bernahmemotiv diese weichen Faktoren sind. In einer jngst am Neuen Markt durchgefhrten Studie gaben z.B. 19% der befragten Unternehmen die Gewinnung von Knowhow als Hauptmotiv fr eine Unternehmensbernahme an.
