Fragen des Internationalen Unternehmensrechts traten vor eine breite Offent lichkeit durch die Diskussion tiber die multinationalen (besser: transnationalen) 1 Unternehmen. Die "Multis" sind heute zwar nicht mehr das Modethema, das sie einmal waren; aber die von ihnen aufgeworfenen Probleme beschaftigen uns 2 Juristen nach wie vor sehr; sie haben nichts an Aktualitat verloren. 1m Zentrum der Dberlegungen stehen die allen bekannten groBen U nterneh men, die tiber auslandische Niederlassungen oder Tochtergesellschaften weltweit tatig sind. Diese relativ jungen Akteure der Weltwirtschaft stellen Fragen, denen die herkomrnlichen juristischen Antworten nicht immer gentigen. Ich mochte an wenigen Beispielen zeigen, welche Interessen das Internationale U nternehmens recht formen und es zu einem dynamischen Rechtsgebiet machen. Dafiir greife ich vier Bereiche heraus: Anerkennung, Gesellschaftsstatut, WeltabschluB und Steuer vermeidung. 2. Anerkennung 2. 1 Problem Die Zentrale eines transnationalen Unternehmens, die Muttergesellschaft, sitzt wie eine Spinne in einem internationalen Netz. Sie ist im allgemeinen eine Kapital gesellschaft, wie wir sie bei uns etwa als Aktiengesellschaft kennen. Diese Rechts form bietet vier Vorztige: Kapital kann relativ leicht aufgenommen werden; die Haftung der Gesellschafter ist begrenzt auf ihre Einlagen; das Gebilde ist juri stische Person, d. h. es kann Trager von Rechten und Pflichten sein fast wie eine nattirliche Person.
