Somit ist es von grtem Interesse die steuerlichen Chancen und Risiken einer solchen Transaktion zu kennen und frhzeitig Manahmen zu ergreifen, die es dem Unternehmer ermglichen, seine damit verbundene Steuerlast mglichst niedrig zu gestalten. Hinzu kommt, dass am 04.05.2005 das Bundeskabinett dem Entwurf eines Gesetzes zur Verbesserung der steuerlichen Standortbedingungen zugestimmt hat. Darin enthalten sind kurzfristig umsetzbare Manahmen fr den Bereich der Unternehmensbesteuerung, wodurch die Wettbewerbsfhigkeit der Unternehmen und deren Investitionsbereitschaft am und in den Standort Deutschland gefrdert werden soll. Weiterhin wird damit die Sicherung des nationalen Steueraufkommens angestrebt. Die geplanten Vernderungen sind im Einzelnen die Tarifsenkung der Krperschaftsteuer von 25 % auf 19 %, Anhebung des Anrechnungsfaktors bei der Anrechnung der Gewerbesteuer auf die Einkommensteuer von 1,8 auf 2,0, Begrenzung des Verlustabzuges auf 50 % des Gesamtbetrages der Einknfte bei einem Sockelbetrag von 1 Million Euro, Verlustabzugsbeschrnkung fr Fonds, welche in erster Linie als Steuersparmodell fungieren und die hlftige Besteuerung der Gewinne bei der Veruerung von Grundstcken und Gebuden des Betriebsvermgens.
