Vollzogen hat sich in den letzten Jahren im Gesellschafts und Kapitalmarktrecht eine CorporateGovernanceDebatte'. Sie fhrte 2002 zum von einer Regierungskommission erarbeiteten DCGK. Gesetzliche Untersttzung erhielt der DCGK durch die Einfhrung der EntsprechensErklrung (EE) in 161 AktG, wonach Vorstand und Aufsichtsrat sich ber den DCGK erklren mssen. Es werden zunchst allgemeine Aspekte geklrt, die den DCGK (Aufbau, Adressaten, Rechtscharakter) und die EE (Inhalt, Zeithorizont, nderungen, Organbezogenheit) selbst betreffen. Erlutert werden im Anschluss die grundstzlich mglichen Verste durch die Organe und deren Wertigkeit untereinander. Auf die Erklrungskompetenz und die Organhaftung wird unter dem Kapitel Organisation eingegangen. Die Tragweite der Verantwortlichkeit der Organe um die AG wird aufgezeigt: Denkbar sind Reaktionen gegen Verste allgemein von Abschlussprfern, Aktionren und von staatlichen Stellen. Einzelflle knnen auch zivilrechtliche Folgen im Rahmen der Innen und Auenhaftung nach sich ziehen. Abschlieend wird das Ergebnis zusammengefat.
