Las stock options adquirieron gran notoriedad pblica con los diversos escndalos financieros sucedidos en Europa y EEUU, que sacaron a la luz desproporcionadas retribuciones de los directivos y consejeros a travs de esta figura. Esto aconteci, justamente, cuando peor situacin econmica atravesaban las empresas otorgantes, lo que supuso una reconsideracin de su incidencia en la gestin empresarial y la oportunidad o no de una regulacin del mismo. Dicha situacin hizo que se aprobase una norma internacional que vino a regular los sistemas retributivos referenciados al valor de las acciones, como son los planes de stock options. En este contexto, este trabajo pretende hacer un repaso de los antecedentes y del marco terico de los planes de opciones sobre acciones, de la literatura econmica, financiera y contable previa as como de las diferentes normas desarrolladas al respecto, para posteriormente profundizar en los novedosos aspectos relativos al tratamiento contable y a las exigencias informativas que se desprenden de la normativa internacional y de la que se hace eco el Plan General de Contabilidad espaol.
