Vor allem die aktuell von den USA ausgehende Finanzkrise belastet branchenbergreifend smtliche Unternehmen. In Deutschland brach das angekndigte Transaktionsvolumen in der ersten Jahreshlfte 2008 um fast 45 Prozent ein. Jede zweite Fusion geht laut Finanzexperten schief. Der hufigste Grund dafr ist die unzureichende Transparenz ber die tatschliche wirtschaftliche Lage des Zielunternehmens und infolge dazu, die falsche Auswahl des bernahme oder Fusionskandidaten. Immer hufiger stellt sich damit die Frage nach den Risiken von Unternehmenstransaktionen. Besonders komplexe Mergers & AcqusitionsTransaktionen (M&A) erfordern deshalb eine ausfhrliche Informationsbasis, sowie interdisziplinres Wissen der Beteiligten. An dieser Stelle knpft die umfassende Unternehmensanalyse der Due Diligence (DD) an. Die vorliegende Arbeit widmet sich im ersten Abschnitt der allgemeinen DD. Zuallererst wird kurz auf den Ursprung, die Ziele und mgliche Motive einer DD eingegangen. Der Vollstndigkeit halber werden in Krze die Teilbereiche der DDPrfung charakterisiert. Anschlieend kommt es zu einer schwerpunktmigen Betrachtung der Legal Due Diligence (LDD) und der damit verbundenen Problematik einer Unternehmensbewertung aus rechtlicher Sicht.
