Partiendo del objetivo marcado por la teora financiera, la creacin de valor para los accionistas o propietarios, los mecanismos de gobiernos internos establecidos en cada organizacin para evitar la expropiacin de valor por parte de los gestores de la compaa, dependern del marco institucional (regulacin, proteccin legal, etc.) en el que sta lleve a cabo su actividad. Lo anterior, aunado a las propias caractersticas de la organizacin, motivar el que se produzca una interaccin ptima de los mecanismos de gobierno perdiendo importancia el efecto individual de cada uno de ellos, en relacin con el efecto conjunto de todos los mecanismos elegidos para gobernar. Partiendo de esta premisa, nuestra tesis trata de dar respuesta a preguntas como: por qu determinados mecanismos de gobierno no operan de igual manera cuando son considerados de forma conjunta? o por qu determinados mecanismos no tienen los mismos efectos en un marco institucional que en otro?
