Eine mgliche Regulierung des Stimmrechtsberatermarktes wird auf europischer und nationaler Ebene diskutiert. Diese Arbeit beginnt mit einer Darstellung des breiten Dienstleistungsspektrums der Proxy Advisors, was aus mehr als nur dem Erstellen der Abstimmungsempfehlungen fr Hauptversammlungen besteht, und stellt die wichtigsten Marktteilnehmer vor. Nach einer Analyse der Grnde fr das Aufkommen dieser Beraterbranche werden Kritikpunkte, insbesondere an der Transparenz der Arbeitsweise, geuert. Im Folgenden wird ein genereller Bedarf einer Regulierung festgestellt. Da sich gerade im vorregulierten Zeitraum unterschiedliche Interessengruppen positionieren, werden nicht nur die relevanten Konsultationsverfahren der EUKommission (2011) und der Europischen Wertpapier und Marktaufsichtsbehrde ESMA (2012), sondern auch deren Teilnehmer betrachtet. Danach wird untersucht, auf welcher Ebene und mit welcher Intensitt ein verhltnismiger Markteingriff erfolgen kann. Darauf aufbauend wird ein Lsungsvorschlag entwickelt.
