Sie wird fr Juristen vor allem dann relevant, wenn der Gesetzgeber dem Mehrheitsaktionr die Mglichkeit einer tiefgreifenden Beeintrchtigung der gesellschaftsrechtlichen Stellung auenstehender Gesellschafter ermglicht und diesen ein angemessener Ausgleich fr die erlittene Einbue gewhrt werden muss (vgl. 304, 305, 320b, 327a AktG). Zu der Frage, wie die dafr notwendige Unternehmens und Anteilsbewertung zu erfolgen hat, existiert heute eine unberschaubare Anzahl an berwiegend betriebswirtschaftlich geprgten Methoden . Bei unbefangener Betrachtungsweise scheint es jedoch naheliegend, auf ein lange kaum bercksichtigtes Instrument zurckzugreifen: den Markt selbst. So stellte schon Herr Zumwinkel als damaliger Vorstandsvorsitzender der Deutschen Post AG fest: Der Markt hat immer Recht, es gibt keine andere Instanz.' Unter dieser Prmisse soll im Folgenden untersucht werden, ob nicht der Brsenkurs als ausschlieliches Kriterium zur Bestimmung der angemessenen Abfindungshhe bei Strukturmanahmen dienen sollte.
