Verluste stellen (steuerlich) werttrchtige Objekte (bzw. assets) dar, die bei M&AAktivitten und va. bei Umgrndungen in die Steuergestaltung inkludiert werden, da der (nicht selten skeptische, abwartende) Kufer nicht selten auch an den Verlusten Interesse hegt. Eine oft versuchte (Steuer)gestaltungsmglichkeit, nmlich der so genannte Mantelkauf, ist Gegenstand dieser Arbeit. So sind nun der so genannte Mantelkauf (im Inland) iSd Gesellschaftsrechts, danach iSd KStG und schlielich iSd UmgrStG zu beschreiben. Es ist zu betonen, dass bei oftmals die Vagheit der Normen kritisiert und verfassungsrechtliche Bedenken lanciert wurden. Die Verlustverwertung stellt in der Steuerwelt auch im Rahmen der Nutzenmaximierung ein (Neben)Ziel des Unternehmens dar. Hauptziel in einer Leistungs bzw. Verkehrswirtschaft sei die Gewinnmaximierung des Unternehmens; steuerlich zwecks Wiederauffllung der Vermgenssubstanz erscheint allerdings bei Totalbetrachtung ein Verlustvortrag bei Gewinn bzw. Verlustschwankungen geboten. Die Finanzverwaltung ist bemht, durch zahlreiche Verlustverwertungsbeschrnkungen der Verlustverwertung bzw. dem Aufkommen eines Verlustmarktes entgegenzuwirken, weswegen ua. verlustverwertungshemmende Bestimmungen erlassen wurden. Bei der Norm des 8 Abs.4 Z.2 KStG ist ua. die Verlustverwertungsbeschrnkung (75%igeVerlustvortragsgrenze) des 2(2b) EStG mit zu bercksichtigen. Weiters knnte unter den Verlustausgleichsreihenfolge auch eine Verlustverwertungsbeschrnkung gesehen werden. Hervorzuheben ist uU auch der Verlustausgleich, der bei grenzberschreitenden Unternehmen nur sehr eingeschrnkt mglich ist. U
