Im Anschluss daran ist eine lebhafte Diskussion ber die Frage entstanden, ob die Rechtsform der deutschen Kapitalgesellschaft bzw. das gesamte deutsche Kapitalgesellschaftsrecht kraft dieser Entscheidung berholt ist. Dem Urteil zu Folge steht nmlich fest, dass eine Kapitalgesellschaft, die in einem EUMitgliedsstaat wirksam gegrndet wurde, in allen anderen Mitgliedstaaten als solche anzuerkennen ist, auch wenn sie ihren tatschlichen Verwaltungssitz und ihre Hauptttigkeit im Aufnahmestaat hat. Demnach wird befrchtet, dass knftig mit einer wachsenden Zahl von Gesellschaften mit fremdem Gesellschaftsstatut (eines anderen EGMitgliedstaates) und Sitz in Deutschland zu rechnen ist. Die unternehmerische Entscheidung vor der Grndung einer Gesellschaft beschrnkt sich nicht mehr auf die Wahl zwischen der deutschen GmbH und anderen mglichen Gesellschaftsformen, sondern es sind nach der aktuellen Rechtsprechung des EuGH zur Niederlassungsfreiheit auch auslndische Rechtsformen zu bercksichtigen. Ein besonderes Augenmerk fllt hierbei auf die englische private limited company (Ltd.) , deren angeblich so einfache und kostengnstige Grndung" sowohl in zahlreichen Kleinanzeigen als auch im Internet bereits beworben wird.
