Jedoch basieren Franchisesysteme zumeist auf vertikalen Vereinbarungen, die unvermeidbar fr die Funktion eines solchen Systems sind, sog. Funktionsbedingungen. Der Franchisenehmer hat dabei Rechte und Pflichten gegenber dem Franchisegeber. Diese zeichnen sich meist in Abnahmeverpflichtungen und Gebietsbeschrnkungen ab. Diese Vereinbarungen behindern den Wettbewerb innerhalb des Wirtschaftsraums. Franchisevertrge sind Typenkombinationsvertrge. Das Franchisesystem ist vom Vertragshndler, dem Handelsvertreter, dem Lizenzsystem und der Knowhow ? Vereinbarung abzugrenzen. Besonderheiten sind vor allen Dingen bei Vertragsabschlssen, des Vertragsinhaltes und der rechtlichen Einordnung festzustellen. Beim Franchising haben die berwiegenden Vorteile zur weiten Verbreitung dieser Vertriebsform gefhrt. Mit der 7. Novelle des GWB wurde das Wettbewerbsrecht noch weiter an das EGV angeglichen und es kann nunmehr ein Gleichlauf beider Gesetze erkannt werden. Einige Ausnahmen und Andersregelungen haben kaum Einfluss auf die Behandlung von Franchisen, finden aber trotz dessen Erwhnung. Die zentrale Vorschrift des GWB ist der Verbotstatbestand des 1 GWB, der dem des Artikels 81 Absatz 1 EGV entspricht. Eine Prfung der Tatbestandsmerkmale ist fr eine Beurteilung, ob eine Wettbewerbsbeschrnkung vorliegt, unumgnglich und wird ausfhrlich behandelt. Wenn sich eine vermeintliche Beschrnkung des Wettbewerbs ergibt, so ist zunchst eine Prfung der Freistellung nach 2 GWB oder Artikel 81 Absatz 3 EGV notwendig.
